1. Agreement

By accessing or using Vaizy (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you (or your organisation) and Vaizy B.V., a company incorporated in the Netherlands.

2. Service Description

Vaizy provides a project management platform for teams running multiple projects, including milestone and timeline tracking, team and resource planning, financial tracking, risk management, budget health analytics, configurable dashboards, CSV/Excel data import, and an AI-powered project assistant. Features may evolve over time. We will communicate material changes to the Service with reasonable notice.

3. Accounts

You must: — Provide accurate information when creating your account — Keep your credentials secure and confidential — Be responsible for all activity that occurs under your account — Notify us immediately at hello@vaizy.com if you suspect unauthorised access You must be at least 18 years old to use the Service.

4. Customer Data Ownership

You retain full ownership of all data you submit to the Service ("Customer Data"), including project records, financial entries, team data, and files. By using the Service, you grant Vaizy a limited, non-exclusive licence to store, process, and transmit your Customer Data solely for the purpose of providing the Service. You are responsible for ensuring you have the right to submit all data you upload, and that doing so does not violate any third-party rights or applicable law.

5. AI Assistant — Important Disclaimer

The Vaizy AI assistant is powered by OpenAI's GPT-4 model and operates on your actual project data. — AI outputs are probabilistic estimates and may be incorrect, incomplete, or outdated — AI insights do not constitute professional, legal, financial, or management advice — You must independently verify AI outputs before making decisions based on them — Vaizy is not liable for decisions made in reliance on AI-generated content Conversation history is stored securely in your account. You may delete conversations at any time.

6. Acceptable Use

You agree not to: — Use the Service in violation of any applicable law or regulation — Upload or transmit unlawful, harmful, defamatory, or infringing content — Attempt to reverse-engineer, decompile, or extract source code from the Service — Circumvent authentication, rate limits, or security controls — Use the Service to develop a competing product — Share access credentials or allow unauthorised third parties to access the Service — Attempt to access another user's data Violation of these restrictions may result in immediate account suspension.

7. Data Protection

Our Privacy Policy (vaizy.com/privacy) and Data Processing Agreement (vaizy.com/dpa) govern how we handle personal data. By using the Service, you confirm that you have the necessary rights, consents, and authority to submit any personal data contained in your Customer Data.

8. Subprocessors

We use trusted subprocessors to operate the Service, including Supabase (database and authentication), OpenAI (AI assistant), Hetzner/Coolify (hosting), PostHog (analytics), HubSpot (CRM), and Featurebase (in-app Help Center, support, and changelog). A current list of subprocessors is available in our Privacy Policy and DPA, and on request at hello@vaizy.com.

9. Availability

We aim for high availability but do not guarantee uninterrupted or error-free access to the Service. Scheduled maintenance, third-party outages (including Supabase and Hetzner), and unforeseen issues may affect availability. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

10. Termination

You may stop using the Service at any time and request account deletion by contacting hello@vaizy.com. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if your account poses a security risk. We will provide notice where legally required.

11. Limitation of Liability

To the maximum extent permitted by Dutch law: — Vaizy is not liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption — Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the fees you paid to Vaizy in the 12 months preceding the claim — Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law

12. Responsibility for Your Data

You are responsible for ensuring that your use of the Service and any data you submit complies with applicable laws and does not infringe third-party rights. If your actions cause damage to Vaizy B.V. as a direct result of a material breach of these Terms, you may be held liable for that damage under applicable Dutch law.

13. Intellectual Property

All intellectual property rights in the Service — including the platform software, UI, algorithms, and documentation — belong exclusively to Vaizy B.V. or its licensors. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written consent. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

14. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the Service, and to use it only for the purposes of this agreement.

15. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands. We encourage you to contact us first at hello@vaizy.com — most issues can be resolved quickly.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice in the Service at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.
